Terms and Conditions for software installations and sales:

Software:

The software we offer is custom tailored for the respective server appliance you order it for. Upon acceptance of your order the requested software is professionally installed on your server appliance by one of our technicians. For that we need shell access by either SSH or Telnet. The installation will be started within a reasonable time after acceptance of the order and completion of the online payment, but usually within less than 24 hours. Software downloads will be delivered by email within 24 hours.

Hardware:

The hardware we sell is also custom tailored to your specifications and is usually shipped upon order within 24-72 hours. Delays might occur due to shortage of parts, but if that is the case, then we will notify you immediately of any delays and an exact delivery date.

Shipping costs:

Software: All our software products are remotely installed and/or delivered as electronic download and are therefore free of shipping costs.

Hardware: Shipping costs per server depend on weight of the server and the country which the customer specifies in his delivery address. The following shipping prices reflect the shipping costs for server purchases per server:

Delivery to an address in Germany: 35,- EUR
Delivery to an address within the European Union: 45,- EUR
Delivery to an address outside the European Union: 110,- EUR

Exact costs for a purchase inlcuding shipping costs and total price for a purchase will be shown on the checkout page prior to finalizing the purchase.

VAT:

All base prices listed in the online shop are excluding 19% German VAT as most of our customers are from outside the European Union. 19% VAT will be charged if you are resident of Germany or a state of the European Union (EU). Prices including VAT (if applicable) and shipping costs will be shown once you are logged in.

For EU Customers only: Corporate and private customers from within the European Union have to pay 19% German VAT on top of the listed prices - unless they provide a valid ECC VAT ID. How to provide an ECC VAT ID: Create a customer login (or modify your existing profile). In the fields "ECC VAT ID" and "VAT Registration number" enter your ECC VAT ID. Then (on the same page) request membership to the member group "Customers with ECC VAT ID". Once approved to that group our shop will calculate the correct price (without VAT) for you.


CONTRACT:

1.

A legally binding contract is only in effect once all steps of the online order have been taken and the actual payment has been approved by our merchant processors (Worldpay.com, Paypal.com or KSK Weilburg). Phone, letter or fax orders also only result in a legally binding contract once a payment - upfront and in full - has been registered. If you need COD (cash on delivery payment), then please ask first.

For software installs only: Should we be unable to access the Customers server(s) for the ordered installations or maintenance due to wrong or incorrect login details or access restrictions in place at the Customers network, then we will try to resolve this matter with the Customer so that access (GUI, Telnet or SSH) can be gained. If this matter cannot be resolved within a timely manner (like two weeks), then we will consider the contract void and will refund the payment. We reserve the right to keep up to 5% (but no more than 25 Euros) of the paid sum to compensate for our time and the expenses involved in processing the refund.


PAYMENT and INVOICING:

Unless agreed upon by both parties all services are paid upfront and in full. A printable PDF invoice in German language will be provided by email (permission is granted to print out the invoice on our behalf). A printable invoice in English language is also provided by our shopping system.

REFUNDS:

1.

According to exceptions in German internet trading laws custom tailored goods or services do not warrant a partial or full refund within or after 2 weeks of placing the online order.

However, If you are unsatisfied with any of the services received through SOLARSPEED.NET, then please don't hesitate to contact us with your complains within six weeks of the completion of the installation. We will then work together with you to provide you with services that meet your expectations. Customer satisfaction is more important to us than raw sales figures. If we fail in a timely manner to provide you with services which meet your expectations, then you are eligible for a partial or full refund. However, refunds of payments made more than three months ago are not possible unless you stated within the first three months that the software did not meet your expectations and gave us adequate time to resolve the matter.

Refunds will be given at the discretion of the SOLARSPEED.NET's management or when required by applicable laws.

WARRANTY:

1. Software: Customer acknowledges and understands that neither SOLARSPEED.NET, nor any of its employees, representatives, agents or the like, warrant that the services offered or provided hereunder will be uninterrupted or error free, nor do they make any warranty or representation as to the results that may be obtained from the use of the service or goods as to the accuracy, reliability or content of any information service or merchandise contained in or provided through the service, unless otherwise expressly stated in this agreement. SOLARSPEED.NET specifically disclaims all warranties of any kind, including, without limitation, the warranties of title, merchantability, and fitness for a particular purpose, whether expressed or implied, for the service it is offering or providing hereunder.
2. Hardware: All hardware we sell is under a standard one year (1 year) warranty if the customer is incorporated or a business. All sales to private end users are under a two years (2 years) warranty. In case of defects the customer has to notify us of the defect within two months and has to allow us repair the defect. If the postage for sending in the defective part is above € 50,- EUR, then SOLARSPEED.NET will pay the postage for returns. Should a repair or replacement not bring the desired results, then the customer can claim a partial or full refund. If hardware is obtained from us and the customer sells it to third parties, then we will only grant the warranty to the initial buyer, but not the third party. The warranty may not be transferred to third parties.

Material and Product Requirements

1.

Software delivery methods:

SOLARSPEED.NET has three different delivery methods for software bought through SOLARSPEED.NET's online store:

a.) Self installable PKGs which DO NOT require a per server license.
  Such PKGs can usually be downloaded free of charge from our website, or may be provided electronically upon request.
   
b.) Self installable PKGs which require a per server license to run.
  Such items are marked with a [*]-sign in the SOLARSPEED.NET online shop. Once these products are ordered, you will receive your download instructions by email. This is a manual process (as the order needs to be reviewed and processed) and may take a moment. When you have installed the PKG based on the provided instructions, you will need to generate a license request through the GUI that comes with the software. Shortly afterwards you will receive an email with the License key, which will unlock the software.
   
c.) Remote installation through a SOLARSPEED.NET technician.
 

This is the default method for all software packages which are not directly listed on the SOLARSPEED.NET download pages, or which are not marked with the [*]-sign in the online shop. This means that the software will need to be installed by one of our technicians. Should a reinstall be needed because of an OS restore, then we will reinstall the software again for you if requested. Up to three free reinstalls within the first 12 months after placement of the order are free of charge. Should a reinstall be needed after 12 months of the initial order, or are more than three reinstalls requested during the first twelve months, then we charge 25 Euros per software package to be reinstalled. In case of a reinstall (either free or paid) you will receive the most recent available version of the software upon the time of the reinstallation.

 

 

d.) ISO images and/or pre-installed on ordered hardware.
  Some software - like Aventurine is also available as downloadable and self installable ISO image or pre-installed on ordered hardware. Aventurine is copyrighted software which requires a license key to run. This license keys are non transferable, may only be used on one stand alone server per license key (in case of Aventurine - Standard) or one cluster (where a cluster can consist of up to two nodes) in case of Aventurine - Cluster. This depends on the type of the license.

Support will only be granted to the individual or company to which the initial license was issued. The name of the company or individual is shown in the license key management once the license is installed on Aventurine. Solarspeed.net reserves the right to revoke license keys if a customer grossly violates the license agreement - such as (but not limiting to): Usage of Aventurine license key(s) on more servers than granted, on resale or transfer of the license key to third parties, on using license keys not issued to the individual or company in question or on failure to uphold contractual agreements such as - but not limiting to - payment for the hardware, software or services in question.
Please note that not all of the different delivery methods are available for all products. We are striving to make all software we build available as self installable, but the conversion process is not yet finished.


2.

Software installs and Hardware sales: Use of SOLARSPEED.NET's products and services requires a certain level of knowledge in the use of Internet languages, protocols, and software. This level of knowledge varies depending on the anticipated use and desired content of the ordered application. The manual or setup information we provide after the installation will let you know about the common features, functionality and the handling of the ordered software. But the Customer must have the necessary knowledge to employ those features and functionality to the best of its abilities. It is not the responsibility of SOLARSPEED.NET to provide this knowledge or customer support outside of the scope of the service(s) which we installed for the Customer.
